01Acceptance of Terms

By accessing or using modelwarden.io(the “Service”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

02Description of Service

Warden is a model trust and security auditing platform (“the Service”) that allows users to submit AI model identifiers (e.g. Hugging Face model IDs) for static analysis, dynamic probing, architecture visualisation, and trust scoring.

Data provided by the Service includes: public Hugging Face Hub metadata (architecture, parameter counts, license, file sizes), static binary analysis of model shard files, behavioral probes executed against live model weights, Merkle integrity trees derived from real shard byte-range downloads, and community model index entries.

03Accounts and Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your password and notify us immediately of any unauthorised access.
• Be responsible for all activity that occurs under your account.
• Not create accounts for the purpose of abuse, scraping, or circumventing rate limits.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in abusive behaviour, or pose a security risk to other users.

04Plans, Quotas, and Payment

Warden offers a Free tier and paid Pro and Enterprise tiers. Quota limits (scan counts, probe classes, API calls) vary by plan and are described on the pricing page and in the documentation.

• Paid subscriptions are billed monthly or annually via Stripe.
• Plan downgrades take effect at the end of the current billing period.
• We do not offer refunds for partial billing periods, except where required by law.
• Exceeding your plan quota will result in requests being rejected (HTTP 429) until the quota resets.
• We reserve the right to change pricing with 30 days notice to active subscribers.

05Acceptable Use

You agree not to use the Service to:

• Submit model identifiers that reference content illegal under applicable law.
• Attempt to reverse-engineer, scrape, or extract bulk data from the Service by automated means beyond normal API usage.
• Probe, stress-test, or attack Warden infrastructure or any third-party system.
• Circumvent authentication, rate limiting, or quota enforcement mechanisms.
• Impersonate another user, person, or organisation.
• Upload, transmit, or distribute malware, exploits, or malicious payloads through the Service.
• Use the Service for purposes that violate any applicable law or regulation.

We reserve the right to investigate and, where appropriate, suspend or terminate access for violations of this acceptable use policy.

06Intellectual Property

All content, design, code, branding, and materials comprising the Warden platform — excluding third-party model metadata (which belongs to the respective model owners) — are owned by or licensed to Warden and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any data you submit to the Service (e.g. private notes, trust decisions). You grant Warden a limited, non-exclusive licence to store, process, and display that data solely to provide the Service to you.

Model metadata, architecture configs, and associated artefacts originate from Hugging Face and their respective model authors, and are subject to their own licences. Warden makes no claim of ownership over third-party model content.

07Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

08Third-Party Services

The Service integrates with or links to third-party platforms including Hugging Face, Google (authentication), Stripe (payments), and Vercel (hosting). Your use of those services is subject to their own terms and privacy policies. Warden is not responsible for the content, practices, or availability of any third-party service.

09Disclaimer of Warranties

Security analysis results (static scans, dynamic probes, verdicts) are illustrative and should not be used as the sole basis for any deployment, procurement, or compliance decision.

10Limitation of Liability

To the maximum extent permitted by law, Warden and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of or in connection with your use of the Service.

In no event shall our total aggregate liability exceed the greater of: (a) the amount you paid to Warden in the twelve months preceding the claim, or (b) USD $100.

11Indemnification

You agree to defend, indemnify, and hold harmless Warden from any claims, losses, damages, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.

12Modifications and Termination

We may modify these Terms at any time. For material changes, we will provide at least 14 days notice via email or a prominent in-app notice before the new Terms take effect. Your continued use after the effective date constitutes acceptance.

We may suspend or terminate your account at our discretion for violations of these Terms, with or without notice. You may terminate your account at any time via the profile page or by contacting support.

13Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms shall be resolved by binding arbitration under the rules of the American Arbitration Association, with proceedings conducted in English.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.
